are allowed.

In Ordinance 5 section 4 of 1889 of the

Straits Settlements (Companies Ordinance 1889) it is enacted

that no company of more than ten persons shall be formed to

carry on the business of banking unless it is registered as a

company under the Ordinance. The Section goes on - *or is formed

*in pursuance of some statutory or other enactment having the

"force of law in the Colony or by Royal Charter or Letters

"Patent". The Secretary of State evidently does not now object

to banking companies being registered under the Companies Ordi-

-nance.

I am strongly of opinion that the Banking

clause (s. 2 ss.1) should be included in the Bill. I cannot

think of any reason why it should be excluded. If there is one

sort of commercial undertaking which should not be carried on

secretly it is a bank.

L. J James in the case of Smith v. Ander-

-gon 15 Ch. D. 273 puts the scope and object of the Acts as

follows:-

"The Act was intended to prevent the mis-

*-chief arising from large trading undertakings being carried

"on by large fluctuating bodies, so that persons dealing with

"them did not know with whom they were contracting and so

*might be put to great difficulty and expense which was a

"public mischief to be repressod".

The Registrar of Companies is also of

opinion that this provision should be retained in the Bill.

I would call attention to clause 111 of

this Bill. This clause will be objected to by the Chinese

(see information required to be given by Form C of the First

Schedule.)
